Terms of Use

These Terms of Use (“Terms”) govern your access and use of all websites directed to users residing in the United Kingdom (“UK”), European Economic Area (“EEA”), or Switzerland, including any content, functionality, and services offered on or through such websites (collectively, the “Sites”), whether you access them as a guest or a registered user. The Sites are operated and controlled by ZO Skin Health, Inc. or its affiliates (collectively, “ZO”). These Terms do not apply to any websites not controlled by ZO or to any third-party websites that may be linked on the Sites.

Please read these Terms carefully before using the Sites. By accessing or using the Sites, or by clicking to accept or agree to these Terms when that option is presented to you, you confirm that you have read, understood, and agree to be bound by these Terms, as well as any additional rules or restrictions posted on the Sites, all of which are incorporated by reference. If you do not agree to these Terms, you must not access or use the Sites.

The Sites are intended solely for individuals residing in the UK, EEA, or Switzerland. ZO makes no representation that content on the Sites is appropriate or available for use in other locations.

Use of the Sites is limited to individuals who are at least 16 years of age. By accessing or using the Sites, you represent and warrant that you are at least 16 years old and that you agree to be bound by the current version of these Terms.

If you do not agree with these Terms, or are dissatisfied with any aspect of the Sites, your sole and exclusive remedy is to discontinue use. If you have an account with ZO and wish to stop using the Sites, you may request deletion of your account and/or personal data in accordance with ZO’s Privacy Notice.

THE SITES

The information provided on or through the Sites is made available solely for general informational purposes. ZO reserves the right to update, amend, or withdraw the Sites, and any services or materials provided on the Sites, at its sole discretion and without notice. ZO does not guarantee the accuracy, completeness, or usefulness of any information available on the Sites. Any reliance you place on such information is strictly at your own risk. ZO expressly disclaims any liability or responsibility arising from your reliance on such materials.

All information on the Sites is provided “AS IS” and may contain technical inaccuracies or typographical errors. ZO is not bound by any information that is incorrect, incomplete, or outdated. More accurate or current information may exist that is not reflected on the Sites, and ZO reserves the right to rely on such more accurate information at any time and for any purpose.

ZO may, in its sole discretion, restrict access to some or all parts of the Sites, including to registered users. ZO is not liable if, for any reason, the Sites or any portion thereof become unavailable at any time or for any duration, or if any content or functionality is removed. ZO makes no representation that the Sites or any content on them are appropriate or accessible in every jurisdiction.

You acknowledge and agree that you do not have any ownership rights in any account you may create on the Sites or in your access to the Sites or their features. ZO may cancel your account and delete all User Generated Content (as defined below) associated with it at any time, without notice, if ZO determines that you have violated these Terms, applicable law, or for any other reason, in its sole discretion.

YOUR USE OF THE SITES

To access the Sites or certain features or services they offer, you may be asked to provide registration details or other information. By using the Sites, you represent and warrant that all information you provide is accurate, current, and complete. You are responsible for keeping this information up to date, and for any consequences that may result from not doing so. If your contact details change, you agree to update them so that ZO can reach you if needed.

All information you submit to or through the Sites, including during registration or through interactive features, is governed by ZO’s Privacy Notice, which explains how your personal data is collected, used, and protected.

If you choose or are provided with a username, password, or any other login credentials (“Credentials”), you must keep them confidential and secure. Your account is personal to you, and you agree not to share, sell, or otherwise transfer your Credentials to anyone else. You also agree not to allow others to access the Sites using your account. Please use caution when accessing your account from public or shared devices. Unless and until you notify ZO in writing that your Credentials have been compromised or used without your authorization, you are responsible for all activity that takes place using them.

By using the Sites, you further represent, warrant, and agree that:

  • You are at least 16 years old.
  • You will use the Sites in compliance with these Terms.
  • You will not use the Sites, including through any content you upload, for any illegal, harmful, threatening, abusive, harassing, defamatory, hateful, discriminatory, obscene, or otherwise inappropriate purpose, as determined by ZO in its sole discretion.
  • You will not post or share any content that is protected by copyright, trademark, publicity rights, or other intellectual property rights without first obtaining the necessary permissions.
  • You will not post or share any content containing personal information about others, violate anyone’s privacy rights, or disclose information you are obligated to keep confidential.
  • You will not use the Sites to send unauthorized messages, advertisements, spam, or solicitations of any kind.
  • You will not disrupt, interfere with, or place an undue burden on the Sites or the networks connected to them, including by hacking, sending spam, or engaging in other disruptive activities.
  • You will not use automated tools (like bots, crawlers, or scrapers) to access or collect data from the Sites.
  • You will not attempt to bypass the Sites’ security measures, reverse engineer any part of the Sites, access the source code, or create unauthorized entry points. If you need to perform such actions for interoperability purposes, you agree to contact ZO first.
  • You will not upload or transmit any viruses, malware, corrupted files, or any harmful code or software that could interfere with the Sites, other users, or any related systems or devices.

The Sites, along with all content, features, and functionality made available through them, including, but not limited to, all text, images, videos, audio, software, design, layout, and arrangement (collectively, the “Site Content”), are owned by ZO, its licensors, or other content providers and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The names ZO Skin Health, Inc., ZO, ZO SKIN HEALTH, ZO SKIN CENTRE, the ZO logo, and all related names, product names, service names, designs, and slogans are trademarks of ZO or its affiliates or licensors. You may not use these marks without ZO’s prior written permission in each instance, except when using them to truthfully refer to ZO’s own products or services. Any other names, logos, product and service names, or designs that appear on the Sites are trademarks of their respective owners.

ZO retains all rights to all Site Content, including but not limited to its trademarks, copyrighted content, images, product formulas, labels, and packaging, whether displayed on the Sites or on any ZO products you may purchase through them. Nothing on the Sites grants you ownership or license rights in any Site Content. All rights not expressly granted to you are reserved by ZO.

You agree not to download, display, copy, or use any Site Content for commercial purposes. You also agree not to use any Site Content in connection with products or services that are not offered by ZO, or in any way that could mislead consumers, harm ZO’s reputation, dilute ZO’s brand, or infringe ZO’s or its licensors’ intellectual property rights. Similarly, you agree not to misuse any Site Content, User Generated Content (as defined below), or third-party content that appears on the Sites.

User Generated Content

The Sites may include interactive features and functionality (“Interactive Services”) that allow users to post, submit, upload, publish, display, or share content or materials with others on or through the Sites. Any such content that you contribute is referred to as “User Generated Content.”

By posting User Generated Content, you represent and warrant that you own the rights to that content or otherwise have permission to post it and grant the rights described below. You also confirm that such content does not violate any laws or the rights of others, including rights related to privacy, publicity, copyright, trademark, patent, contract, or other legal protections (such as defamation or unfair competition).

Unless otherwise stated in our Privacy Notice, any User Generated Content you post to the Sites will be considered non-confidential and non-proprietary and may be visible to other users. By posting such content, you grant ZO a royalty-free, worldwide, perpetual, irrevocable, and fully transferable license to use such content for as long as the relevant intellectual property rights exist. This license includes the right to use, reproduce, copy, adapt, publish, display, distribute, transmit, and create derivative works from such content, in whole or in part, in any format, media, or technology, now known or developed in the future. It also includes the right to host, cache, tag, and index your content, and to sublicense it to others for use on different platforms.

User Generated Content reflects the views of the individuals who posted it and not ZO. ZO does not review or approve User Generated Content before it appears on the Sites and makes no guarantees about its accuracy, completeness, or reliability. ZO does not endorse any User Generated Content and is not responsible for any errors, omissions, or damages that may result from it, even if ZO has been advised of the possibility of such damages.

ZO reserves the right (but is not obligated) to monitor, edit, refuse, or remove any User Generated Content at its sole discretion if it violates these Terms or is otherwise inappropriate, inaccurate, or objectionable in ZO’s judgment.\

In addition, ZO reserves the right to fully cooperate with law enforcement or comply with a court order that requires ZO to disclose the identity or other information of anyone posting materials on or through the Sites.

Third Party Websites 

The Sites may include links to websites or resources provided by third parties. These links are offered for your convenience only, including links found in advertisements such as banner ads or sponsored content. ZO does not control or endorse the content on any third-party websites and is not responsible for their content, accuracy, or availability.

ZO is not liable for any loss or damage that may result from your use of any third-party sites. If you choose to visit a site linked from the Sites, you do so at your own risk and will be subject to the terms and conditions and privacy policies of that site. These Terms, ZO’s Privacy Notice, and any other policies related to the Sites do not apply to third-party websites.

We encourage you to review the privacy policies and terms of use of any third-party websites you visit before interacting with them or providing any personal data.

Disclaimer of Warranties

YOUR USE OF THE SITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES IS AT YOUR OWN RISK. THE SITES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER ZO NOR ANY PERSON ASSOCIATED WITH ZO MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITES. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED FROM THE SITE WILL CREATE ANY WARRANTY THAT IS NOT EXPRESSLY STATED IN THESE TERMS.

WITHOUT LIMITING THE FOREGOING, NEITHER ZO NOR ANYONE ASSOCIATED WITH ZO REPRESENTS OR WARRANTS THAT THE SITES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITES OR ANY PRODUCTS OR SERVICES OBTAINED THROUGH THE SITES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

TO THE FULLEST EXTENT ALLOWABLE UNDER APPLICABLE LAW, ZO HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Depending on your country of residence, these disclaimers may not apply to you in full.

ZO’s responsibility for loss or damage whether you are a consumer or a business user:

  • ZO does not exclude or limit in any way its liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by ZO’s negligence or the negligence of ZO’s employees, agents, or subcontractors and for fraud or fraudulent misrepresentation.

If you are a business user:

  • ZO excludes all implied conditions, warranties, representations, or other terms that may apply to the Sites or any content on them.
  • ZO will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with use of, or inability to use, the Sites; or use of or reliance on any content displayed on the Sites.
  • In particular, ZO will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

If you are a consumer user:

  • ZO only provides the Sites for domestic and private use. You agree not to use the Sites for any commercial or business purposes, and ZO has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
  • If defective digital content that ZO has supplied damages a device or digital content belonging to you and this is caused by ZO’s failure to use reasonable care and skill, ZO will either repair the damage or pay you compensation. However, ZO will not be liable for damage that you could have avoided by following ZO’s advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by ZO.

Changes to the Terms

ZO may update or modify these Terms at any time, at its sole discretion, and without prior notice. Any changes will take effect immediately once they are posted on the Sites and will apply to all future access and use.

By continuing to use the Sites after any updated Terms are posted, you agree to follow and be bound by those changes. We encourage you to check this page regularly to stay informed about any updates.

GENERAL

We aim to resolve any concerns or disputes relating to these Terms in a fair and reasonable manner. If you decide to bring legal action against us, you must do so in the courts of your country of residence. The laws of your country will apply to these Terms and any related disputes.

If ZO does not enforce a part of these Terms at any time, that does not mean it has given up its right to enforce it later. If any part of these Terms is found to be invalid or unenforceable by a court or regulator, the rest of the Terms will remain in full force and effect.
